Helix Partner Portal Terms of Service

Helix OpCo, LLC and/or its affiliates (“Helix”, “we”, “us”) provides an online web portal through which it makes available the status and results of laboratory services provided to its partners (the “Portal”). Your access to and use of the Portal is subject to the following terms and conditions.
By accessing or using the Portal, you acknowledge that you are an authorized representative of an entity receiving laboratory services from Helix, and agree to be bound and abide by these Terms of Service. Please read them with care. You acknowledge that Helix has entered into an agreement with the entity you represent (the “Agreement”) which may include terms that further govern your use of the Portal, and Helix has assigned a representative to assist with management of the Agreement and the Portal (the “Partner Manager”).
1. Changes to these Terms of Service and the Portal
Your use of the Portal is also subject to any applicable terms, policies, including Helix’s Privacy Policy, or rules that we may post or provide a link to on the Portal. All such applicable terms, policies and rules are considered part of these Terms of Service and incorporated by reference.
We may revise and update these Terms of Service from time to time and post the updated Terms of Service on the Portal. All changes are effective immediately when we post them, and they apply to all access to and use of the Portal from that point onward. If you use the Portal after we post revised Terms of Service, you acknowledge and agree to the revised Terms of Service.
We reserve the right to modify or remove the Portal or any portion thereof in our sole discretion without notice. We will not be liable if for any reason the Portal is unavailable at any time or for any period.
2. Prohibited Uses
You may use the Portal only for lawful purposes and in accordance with these Terms of Service. You agree not to use the Portal in any way that violates any applicable federal, state, local or international law or regulation. You also agree not to:
- use the Portal if you are barred from doing so under any applicable laws;
- use the Portal in any way that could disable, overburden, damage, or impair the Portal;
- use the Portal in any way that could interfere with any other party’s use of the Portal;
- reverse engineer, copy, modify or create derivative works of the software used in the Portal;
- use any robot, spider or other automatic device, process or means to access the Portal for any purpose, including monitoring or copying any of the material on the Portal, unless explicitly permitted by Helix;
- engage in framing, mirroring, or otherwise simulating the appearance or function of the Portal;
- use any device, software or routine that interferes with the proper working of the Portal;
- introduce any viruses, Trojan horses, worms, or other material which is malicious or technologically harmful;
- attempt to gain unauthorized access to, interfere with, damage or disrupt any parts of the Portal, the server on which the Portal is stored, or any server, computer or database connected to the Portal;
- attack the Portal via a denial-of-service attack or a distributed denial-of-service attack;
- attempt to bypass methods that Helix may use to prevent or restrict access to the Portal;
- grant access to unauthorized third parties or disclose login credentials to third parties;
- access or attempt to access another user’s account; or
- otherwise attempt to interfere with the proper working of the Portal.
3. Accessing the Portal
To access the Portal, you must contact your Partner Manager to receive an account. Helix will provide access to the Portal to a designated email address. Each individual email address may only be used by the authorized individual. Helix further requires two-factor authentication (2FA) to access the Portal. For purposes of 2FA, you may use an authentication application of your choice. You recognize that you may be subject to terms and conditions for use of such application, and agree that Helix will not have any responsibility for the functionality and security of your chosen authentication application.
When you first log into your account, you must choose a new password and treat your password as confidential. You agree not to let someone else access the Portal using your username, password or other security information. You agree to let us know immediately of any unauthorized access to or use of your username or password or any other breach of security.
In the event you download or otherwise remove any data from the Portal, you are responsible for maintaining the confidentiality and security of such data in accordance with applicable law and the terms of the Agreement. You agree to let us know immediately of any unauthorized access to the data outside of the Portal.
If we believe that you have violated these Terms of Service, we have the right at any time to disable your username, password or any of your identifiers, whether chosen by you or provided by us.
4. Communications
You are communicating with us electronically when you use the Portal or send us emails and other communications from your desktop or mobile device. You agree to receive electronically all communications from us in connection with your account or your use of the Portal, which may include emails or messages on the Portal.
You may retain copies of these communications for your records. You agree that all digital agreements, notices, disclosures, and other communications that we provide to you meet any legal requirement that such communications be in writing.
5. Intellectual Property Rights
The Portal, its features and functionality, and the presentation of its content are owned by Helix and its licensors and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.
No right, title or interest in or to the Portal or any content on the Portal is transferred to you. Helix reserves all rights not expressly granted. If you provide Helix with any suggestions, recommendations or other feedback regarding the Portal (“Feedback”), you agree that Helix may freely use and exploit such Feedback in any way and for any purpose. Any use of the Portal not expressly permitted by these Terms of Service is a breach of these Terms of Service and may violate copyright, trademark and other laws.
6. Trademarks
The Helix name and logo are trademarks of Helix. You must not use Helix trademarks without the prior written permission of Helix.
7. Geographic Restrictions
Helix is a United States company and provides the Portal in the United States. We make no claims that the Portal or any of its content are accessible or appropriate outside of the United States. Access to the Portal may not be legal by certain persons or in certain countries. If you access the Portal from outside the United States, you do so on your own initiative. If you do so, you will be responsible for compliance with local laws.
8. Disclaimer of Warranties
YOUR USE OF THE PORTAL, ITS CONTENT, AND ANY FEATURES OR ITEMS OBTAINED THROUGH THE PORTAL IS AT YOUR OWN RISK. THE PORTAL, ITS CONTENT, AND ANY FEATURES OR ITEMS OBTAINED THROUGH THE PORTAL ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO ANY WARRANTY THAT THE PORTAL WILL BE ERROR-FREE OR THAT ACCESS WILL BE UNINTERRUPTED..
THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
9. Limitation of Liability
IN NO EVENT WILL HELIX, ITS AFFILIATES OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PORTAL, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE.
THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
10. Termination
You may discontinue use of the Portal at any time.
If you violate these Terms of Service, Helix has the right to terminate your access to all or part of the Portal. Helix has the right to terminate all accounts that have been inactive for at least thirty (30) days.
In the event of termination of the Agreement, your right to access to the Portal will be immediately terminated.
11. Your Comments and Concerns
If you have any feedback, comments, requests for support, or other communications about the Portal, you should contact your Partner Manager.
